ESEF go-live gets an additional year
Op 11 december 2020 beslisten het Europees Parlement en de Raad dat de lidstaten de toepassing van de ESEF-vereisten voor de jaarlijkse financiële verslagen van genoteerde vennootschappen met een jaar mogen uitstellen . Deze optie zou worden geformaliseerd in de komende maanden in een aanpassing aan de Transparantierichtlijn.
Na overleg met de minister van Financiën en in afwachting van de formele invoering, in de transparantierichtlijn, van de mogelijkheid om de invoering van ESEF met een jaar uit te stellen en van de formele lichting door België van deze mogelijkheid deelt de FSMA mee dat ze geen stappen zal nemen tegen vennootschappen omdat ze ESEF niet toepassen voor het boekjaar 2020.

Le 11 décembre 2020, le Parlement européen et le Conseil ont toutefois décidé de permettre aux États membres de reporter d’un an l’application des exigences ESEF aux rapports financiers annuels de sociétés cotées , en prévoyant que cette faculté soit formalisée dans les mois suivants au travers d’une adaptation de la directive Transparence .
Après concertation avec le ministre des Finances, et en attendant que la possibilité de reporter d’un an l’application de l’ESEF soit formellement incluse dans la directive Transparence et que la Belgique recoure formellement à cette option, la FSMA communique qu’elle ne prendra aucune mesure à l’encontre de sociétés qui n’appliqueraient pas le format ESEF pour l’exercice 2020.

On 11 December 2020, the European Parliament and the Council decided that the Member States may delay by one year the application of the ESEF requirements for the annual financial reports of listed companies. This option is expected to be formalized in the coming months in an amendment to the Transparency Directive.
After consultation with the minister of Finance and while awaiting on the one hand the formal insertion, into the Transparency Directive, of the option to delay by one year the application of ESEF and on the other hand the formal notification by Belgium that it will avail itself of this option, the FSMA announces that it will not take any measures against companies who have not applied the ESEF format for the 2020 financial year.
